The Eon Images website and offline image collection are copyrighted, and materials cannot be reproduced, copied, or sold without permission of Eon Images. Purchase of an image from Eon Images constitutes permission for reproduction and all other uses as defined below in the License Agreement.
LICENSE AGREEMENT
ALL USES AND PUBLICATION OF MEDIA PURCHASED FROM EON IMAGES ARE SUBJECT TO THE FOLLOWING LICENSE AGREEMENT. BY LICENSING MATERIAL FROM EON IMAGES, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
RIGHTS GRANTED by this Agreement to the Licensee:
1. Non-exclusive, non-transferable right to reproduce the licensed image for any purpose except for those detailed under PROHIBITED USES.
2. Right to crop, alter, or otherwise manipulate or modify image.
3. Right to create, publish, display and sell derivative works using the image. Copying the image without substantial alteration does not meet the standard for declaring a work derivative.
PROHIBITED USES
The Eon Images website and offline image collection are copyrighted, and the collection cannot be reproduced, copied, or sold without permission of Eon Images.
Individual images in the collection are in the public domain, and as such Eon will not impose restrictions as to their use.
However, Licensees are strongly advised to avoid the following:
1. Use of the image as a trademark or logo.
2. Use of the image for any pornographic, obscene, or illegal purpose, or in a defamatory manner.
3. Use of an image that displays individuals or entities in a manner suggesting an association with the individual or entities, or suggesting an endorsement by those individuals and entities of a product or service.
All images are suitable for editorial use. When a model or property release is available, Eon Images will make that information clear. If there is no indication that a model or property release is available, it is the responsibility of the licensee or end-user to make a determination about how the image will be used.
CREDIT NOTICE
If an image is to be used editorially in print or electronic media or on Internet sites, we request (but not require) the following credit accompany the image: Eon Images. Use in advertising or promotional products should not include a credit.
WARRANTIES
Images in the Eon collection come from a wide array of sources. Eon Images warrants that it: owns; or, has obtained sufficient permissions from the copyright holder; or, has taken reasonable measures to ensure that no U.S. copyright exists, for the images in its collection, and is thus authorized to enter into this Agreement.
Licensee acknowledges that any trademarks and copyrights of the subject matter depicted in the images are subject to protection by intellectual property laws. It is the responsibility of the licensee to obtain consent from the owners of the intellectual property when necessary to comply with intellectual property laws. Unless there is a notification from Eon Images stating otherwise, licensee should assume that no consent from persons or owners of property depicted in an image has been given regarding publication and that model and property releases are not available from Eon Images or its content providers. Further, Eon Images makes no claims or warranties as to the validity of the model or property releases associated with any image and such releases should be verified by the licensee.
While Eon Images goes to great lengths to provide accurate captions and informative notes that accompany images, Eon Images does not warrant the accuracy of such information. If information is found to be misleading or false, Eon Images will refund the purchase cost, and correct all errors as quickly as reasonably possible.
EON IMAGES MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE LICENSED MATERIAL, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EON IMAGES SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF LICENSEE'S USE OF THE LICENSED MATERIAL OR OTHERWISE, EVEN IF EON IMAGES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. EON IMAGES MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH LICENSEE'S USE OF OR INABILITY TO USE THE LICENSED MATERIAL (WHETHER IN CONTRACT, TORT OR OTHERWISE) SHALL, TO THE EXTENT PERMITTED BY LAW, BE LIMITED TO THE VALUE PAID BY THE LICENSEE FOR THE LICENSED MATERIAL.
INDEMNIFICATION
Provided that the Licensee is not in breach of this Agreement, Eon Images shall defend, indemnify and hold Licensee harmless from all damages arising out of or connected with any actual or threatened lawsuit, claim or legal proceeding alleging that Eon Images is in breach of its warranties.
Licensee shall defend indemnify and hold Eon Images harmless from all damages arising out of or as a result of claims by third parties relating to Licensee's use of any Licensed Material outside the scope of this Agreement or any other breach by Licensee of this Agreement.
